The National Association of Black Counselors (NABC) operates under a comprehensive governance framework designed to ensure accountability, transparency, ethical leadership, and alignment with its mission to advance Black mental health professionals and the communities they serve.

Board of Directors

NABC is governed by a Board of Directors, which serves as the principal governing and decision-making authority of the organization. The Board of Directors holds ultimate responsibility for organizational policy, fiscal oversight, strategic direction, and administrative governance. It approves budgets, contracts, and policies; supervises the Executive Directors; and ensures that all organizational activities adhere to NABC’s mission, values, and ethical standards.

All members of the Board of Directors must be active members of NABC in good standing. Board officers are elected to two-year terms and may serve additional terms as permitted by the bylaws. The Board includes elected officers and designated representatives to ensure broad national and regional representation.

Executive Directors

Executive Directors serve as permanent members of both the Board of Directors and the Advisory Board and are responsible for managing daily operations, implementing Board-approved policies, supervising staff, overseeing finances, and executing strategic goals. They function as the primary operational link between governance bodies, leadership, and the membership. Executive Directors serve without fixed term limits and may only be removed or replaced through a formal process as defined in the bylaws.

Advisory Board

NABC is further supported by an Advisory Board that serves in an advisory and fiduciary oversight capacity. The Advisory Board provides strategic guidance, financial stewardship, fundraising leadership, and professional expertise while maintaining no direct operational authority. Its role is to support organizational integrity, sustainability, and mission alignment through formal recommendations submitted to the Board of Directors.

Members of the Advisory Board are not required to be members of NABC or licensed counselors. Advisory Board members serve renewable two-year terms and may serve no more than two consecutive terms, in accordance with the bylaws.

Committees

NABC establishes standing and ad hoc committees to support core organizational functions, including governance, finance, advocacy, programming, regional leadership, and divisional initiatives. Committees operate under the authority of the Board of Directors and in accordance with NABC’s bylaws. Committee membership may include Board members, Advisory Board members, and other individuals with relevant expertise, as appropriate.

Ethical Governance and Accountability

All members of the Board of Directors, Advisory Board, and executive leadership are required to uphold fiduciary duties of care, loyalty, and obedience. Governance decisions are conducted in accordance with NABC’s bylaws, parliamentary procedures, confidentiality standards, and conflict of interest policies. NABC maintains strict ethical oversight through required disclosures, confidentiality agreements, and periodic governance reviews to ensure continued compliance with nonprofit governance best practices.
